Private equity firm Warburg Pincus will invest at least $245 million to obtain a substantial equity interest in Integra Telecom Inc. The proceeds from the transaction will be paid to existing Integra investors in exchange for outstanding shares. Integra Telecom will continue to operate as a privately held company and will not raise any primary equity in this transaction. The transaction is subject to customary regulatory and other approvals and is expected to close in the fall.
Integra said in March that it would acquire Eschelon Telecom Inc. for $710 million. The Warburg Pincus transaction is separate from that purchase and not required to complete it. The Eschelon acquisition was expected to close on Aug. 31.
Perimeter eSecurity, a provider of on-demand security software, has acquired USA.NET, which develops secure electronic-messaging services. The deal was announced two weeks after Goldman Sachs pumped $50 million into Perimeter eSecurity, and terms were not disclosed. Private equity firms Bessemer Venture Partners and the Stripes Group LLC also helped fund the USA.NET purchase. USA.NET will add more than 1,300 clients to Perimeters customer base of 4,000. Nearly half of those companies are in the financial services industry, said Brad Miller, CEO of Perimeter.
Broadview Networks revamped its channel program to absorb programs from its acquisitions of InfoHighway Communications and ATX Communications. Robert Westervelt, vice president of indirect sales, runs the newly structured group, which includes dedicated channel managers, agent resolution, a T1 reach-out program and strong customer service.
TalkSwitch signed Dallas-based SOHO PBX Consulting Inc. as an official distributor. SOHO PBX Consulting will offer technical support, order fulfillment and logistical expertise to TalkSwitch resellers across the Southwest and other markets. SOHO PBX Consulting had been a platinum-level TalkSwitch partner. SOHO PBX Consulting will offer the same benefits as TalkSwitch, including access to an exclusive reseller portal that offers sales and marketing tools, partner technical and sales Webinars, and the TalkSwitch & You reseller program.
Technology Assurance Group (TAG) has announced an agreement with Samsung Business Communication Systems (BCS) that will make it easier for its members to source Samsung BCS products. Some of the products TAG members will have access to include the OfficeServ 7400 converged VoIP platform and the wireless and wireline solutions it supports. TAG is a national organization of independently owned business communications providers in the United States and Canada representing more than $380 million in products and services.
eOn Communications Corp. launched its Business Connect Partner Program, which is designed for system integrators, phone system interconnects, data VARs and IT consultants. Business Connect partners receive product training, sales assistance, marketing collateral and access to eOns partner portal to help sell eOns hosted VoIP products. Partners also are given the option of installing and servicing hardware, including IP telephones and networking equipment.
TeleBright Corp. signed Association Resource Group (ARG) as a new channel partner. ARG will sell TeleBrights ManageRight service, which monitors and analyzes companies wireline and wireless spend.
