High Wire Networks Going Public with Spectrum Global Solutions Merger

High Wire Networks is merging with Spectrum Global Solutions, the provider of telecommunications engineering and infrastructure services.

Spectrum Global provides services across the United States, Canada, Puerto Rico and Caribbean. The merger is a cash and stock transaction. Upon closing, High Wire will become publicly traded.

High Wire provides managed security, professional services and commercial/industrial electrical solutions. They’re delivered through a channel sales model.

“This transaction will create a lot of opportunity for our customers, our employees and our business partners,” he said. “When it comes to our channel partners, on the High Wire side they will benefit with increased reach, new capabilities and more strength in some existing capabilities. Our Overwatch Managed Security channel will see faster rollout of new elements on the platform to provide even more choice, as well as a focus on helping them grow their security practices even faster with expanded marketing assistance and a bigger support organization.”

In a year impacted by the COVID-19 pandemic, High Wire produced more than $18 million in gross revenue and an operating profit in 2020.

“We’ve worked with various members of the [Spectrum Global] management team in the past and, through discussions over time, they felt it was the right time for them to transition into a new generation of leadership with a different vision for the companies,” Porter said. “It’s a natural transition as I personally know their business well. And our team will quickly be able to help in areas that need some care and attention.”

Spectrum Global to Rebrand

Spectrum Global plans to rebrand itself with the High Wire name. In addition, High Wire’s management team will assume a leadership role in the rebranded organization and its subsidiaries.

“This transaction will give us much greater scale, which will benefit our High Wire partners as we will be able to take our efficient delivery capability and make it even better and faster,” Porter said. “Our Overwatch Managed Security partners will benefit as we have greater access to capital, and will be looking at opportunities to add to the platform through partnerships or acquisition.”

Spectrum Global customers will benefit through increased capabilities, he said. They’ll also have more flexibility and some intellectual property to enhance the delivery experience.

Spectrum Global works through channels, not directly with end customers.

Roger Ponder is Spectrum Global’s CEO. He said the merger presents a unique transformative growth opportunity. It’s also a an opportunity to take the organization in a new direction.
